Corporate Governance

Norte Energia is dedicated to implementing corporate governance practices that strengthen stakeholder trust and drive sustainability and social and economic development in the areas surrounding its operations. The Company values transparency, ethics and effectiveness in its governance, seeking to consolidate its credibility and contribute to local social and economic progress. Through its Bylaws, Integrity Program and shareholders' agreement, covering 100% of the Company’s capital, Norte Energia's governance ensures that decisions are guided by ethical principles and environmental responsibility.

Norte Energia has a governance structure comprised of:

  • General Shareholders Meeting;
  • Board of Directors (BoD);
  • Advisory committees (six statutory and three regulatory), composed of experienced and qualified members, elected for two-year terms;
  • Supervisory Board (SB);
  • Internal Audit; and
  • Executive Board (GRI 2-9).


Embedding policy commitments

Norte Energia has corporate policies that establish objectives, responsibilities and criteria aligned with its strategy and values, ensuring ethical and responsible business conduct. The Company's governance is structured at different levels: the Board of Directors approves policies and oversees the Executive Board, which in turn defines objectives and validates standards; Advisory Committees, such as the Sustainability and Environmental Committees, monitor and support the implementation of these commitments.

The superintendence units work in an integrated manner to implement the guidelines, with responsibilities incorporated into job descriptions and internal regulations. Relationships with suppliers and partners follow standards aligned with the Code of Conduct and Ethics, Sustainability, Human Rights and Conflict of Interest policies, in addition to Supplier Due Diligence standards, with strict approval and technical review processes.

Transparent communication is guaranteed through various internal and external channels, such as the intranet, emails, in-person meetings, the institutional website, and the Sustainability Report itself. Continuous employee development is promoted through training, lectures and daily safety discussions. For suppliers, the Company uses tools such as a Due Diligence and Conflict of Interest Form, reinforcing alignment with its values from the beginning of the business relationship.

Risk management, internal controls and compliance

The Risk Management, Internal Controls and Compliance area aims to strengthen governance and support management in making decisions efficiently, transparently and securely, providing greater reliability for stakeholders. It is also responsible for managing events that may significantly impact activities, with financial and operational consequences, including the operating permit, concession contract, occupational health and safety, as well as the organization's image and reputation. The severity of these risks is assessed in accordance with the Risk Management Policy (GRI 2-27).

Using methodologies based on COSO ERM and ISO 31000, Norte Energia's risk management considers qualitative and quantitative aspects, providing essential information to the Executive Board, the Supervisory Board, the Advisory Committees, and the Board of Directors.
